With an IT service agreement, companies now have the choice of acquiring services from IT professionals. An IT service agreement is a document between a service provider and a client in which one party, in this case the IT engineer or developer would agree to provide their service and both parties would outline their expectations, terms, and responsibilities. IT companies, freelancers and the such are to use this type of service agreement.

How To Create an IT Service Agreement?

The IT industry is a growing and lucrative business, as more and more individuals who are experts in this field are needed of their services. IT professionals maintains the computer networks of all types of organizations, providing technical support and ensuring the whole company runs smoothly. An IT support monitors and maintains the company computer systems, installs, and configures hardware and software, and solves technical issues as they arise. And companies who may want to avail of IT services may have different reasons in doing so. The scope of services will depend on what the client would need of the IT professional. Such is the case when creating an IT service agreement, the format and contents may differ on what is agreed upon. Regardless of what particular IT services a company may need, let us go over the basic components of an IT service agreement below:

I. General Purpose

The general purpose of the agreement is to engage the services of IT company or IT professional to perform the services described.

II. General Duties Covered

This will detail what work the IT contractor will do to maintain your technology. This could include checking security software, testing backup systems, installing software updates, administering general technical support and etc. You can also specify in your agreement the items or assets is covered such as what hardware, software, and services will be maintained by the IT maintenance contractor.

III. Excluded Duties

Define what duties, scenarios and technology that are not to be included in the agreement. For example, spilling coffee on your hard drive, a power surge disabling your server, unauthorized modifications, or natural disasters might not be covered. That said, you may still be able to receive help for these problems, but with a cost.

IV. Contract Tiers

Some IT support may prefer structuring their agreement using a using “tiered pricing”. Which is the fee per event decreases as the number of events increases. A contract should lay out the system the IT support provider uses, if they use it, and what their response time to problems may be. Response time should not be confused with resolution time, as that can vary due to the problem at hand.

V. Terms

This is the starting date of the agreement till the last day. The effective date of a contract is the date after which both parties are bound to its terms. Next, include a work schedule—work done on a project basis should, at a minimum, include beginning and end dates. You might list other due dates if your project has several different stages or steps. Should any extension be given, must be agreed upon by both parties.

VI. Description of Fees and Payment

Include terms like whether the charges are hourly, weekly, or monthly; or whether you are charging a flat fee per maintenance or project. You might also need to specify whether the pricing includes expenses, such as travel for IT personnel who must visit different company locations, or if those expenses are to be billed and reimbursed separately.

VII. Confidentiality Clause and Data Privacy

Data privacy and other important assets such as material, books, records and information in any format or medium (including provided orally) submitted or made available to IT personnel, or any other person acting on behalf, unless otherwise publicly available, and all data and information, and other work developed by IT personnel under this agreement, shall be utilized by IT personnel solely in connection with the performance of the services under the agreement only and shall not be made available by any other person unless required by law.

VIII. Termination Clause

Define the circumstances in which the agreement may be terminated including the effects of termination such as payments and other rights and obligations of the parties.
