What Is a Consultant Nondisclosure Agreement?

Consultants are referred to as life coaches, professional legal advisers, financial advisers, and other bunch of terms we may not know of. But one thing is certain; consultants offer advice that will help you make improvements with your life, career, business, or finances. The process would involve sharing personal and very sensitive information to the consultant, and not all of us are willing to do this for fear that the information we shared may be disclosed. Well, you’ll have to place your trust in a consultant, and if you want peace of mind, look for a consultant nondisclosure agreement or a confidentiality agreement for consultants. The agreement is used mainly to protect personal and sensitive information from further disclosure.

With a consultant nondisclosure agreement in place, you can freely share information with your consultant without having to worry about it being wrongly disclosed or used against you. That is because the agreement prevents your consultant from revealing the information you shared with them to other parties, and you, in turn, are not allowed to share or use what you have learned from them to another party.

Information Is Key

If you look online, you’ll find different kinds of sample nondisclosure agreements and free confidentiality agreements for various purposes. There are standard nondisclosure agreements for consultants, consultant nondisclosure agreements in PDF, HR confidentiality agreements, and sample business confidentiality agreements, to name a few. All these agreement samples have one thing in common called key elements. The key elements of a nondisclosure agreement are crucial parts because they make the document legally binding and enforceable in the court of law.

  • Names of the parties involved – The agreement must specifically identify the disclosing party and the receiving party. A straightforward description of both parties is provided at the start of the agreement and are usually written in bold or capital letters.
  • What is considered confidential – A definition of the things that are considered confidential must be provided in the agreement so that both party’ will know what they can and cannot do. This is because some things that are confidential to you may not be confidential to another. That is why it is best to be careful and to write in detail all that needs to be considered confidential by both parties.
  • Scope of confidentiality – A nondisclosure agreement protects confidential information from disclosure and, at the same time, prevents the receiver of the information from using it for personal gain or use it against you.
  • What is excluded from confidential treatment – This refers to information that is already known by the public and the recipient. This type of information can be excluded from confidential treatment.
  • Agreement term – Nobody wants to be part of a nondisclosure agreement forever, especially if you are the receiving party. The duration of the agreement must be reasonable before you agree to it. Also, some confidential information may not have any value in the future, so there seems to be no point in having it forever.

What to Consider Before Signing a Nondisclosure Agreement

Whether you’re the receiving party or the disclosing party, you shouldn’t be so excited and so quick in signing a nondisclosure agreement or just about any agreement. Regardless if it’s a verbal agreement or a written agreement, it’s still legally binding just like a contract. So consider the following before jumping into a final decision of signing a nondisclosure agreement.

Step #1: Read and understand the entire agreement

Reading a whole agreement is a lot of work because there are a lot of pages that you need to cover. And there will be even more pages if the agreement is very complicated. But it pays to read the entire document so that you won’t miss any detail and determine that you understand and agree to everything on it.

Step #2: Check out the key elements

Remember the key elements provided above? Well, you should check if they are all included in the nondisclosure agreement you are about to sign. If you notice one key element missing, then the agreement is not complete and may be missing other essential details.

Step #3: Learn of all the clauses

You should not miss any of the clauses provided in the agreement. Each clause discusses a specific provision or section in a contract. They can’t be ignored and should not be ignored.

Step #4: Breach of contract

We want to prevent any breach of contract as much as possibe, but we must also be prepared when it happens. Look for remedies for contract breaches in the agreement document. Check if it’s favorabe for both parties, especially if you are both receiving and sharing confidential information.
