What Is a Freelance Contract?

A freelance contract is a legal agreement between a freelancer and a client stating the scope of work, payment for services, and other terms and conditions related thereto. A freelance contract is also called an independent contractor agreement or service contract. The standard freelance contract contains information about the freelancer and the client, the terms of payment, project details, and other clauses that will legally bind the two parties.

How To Write a Freelance Contract?

Is it your first time writing a legal contract as a freelancer? In the following paragraphs, we will help you understand the process of writing a freelance contract and what should be included in it. Prepare your blank document or a clean piece of paper and follow the instructions below.

1. Provide the Complete Details of Both Parties

By both parties, we mean you as the freelancer and the name of the individual contractor. Write down your complete name, address (which can be your home address or office address), and your job title (freelance writer, freelance designer, etc.). On the contractor’s side, write down their complete name as well, but if they are acting on behalf of their company, then you can write down their job designation and the name of the company. If you are the contractor, then you can do so in the vice-versa process.

2. State The Scope of Work

When in contract, both parties are expected to deliver what was promised and agreed upon, otherwise be ready to be sued for breach of contract. So if you don’t want to fall short on your responsibilities, be open about what you can do for the contractor/freelancer and what they should expect from you shall the project starts. Before writing this part of the contract, make sure that you have talked to the contractor/freelancer to clarify things beforehand.

3. Discuss Terms of Payment

In what way shall the freelancer be paid? How should the contractor pay the freelancer? You need to discuss this as well before the drawing up of the contract. The contractor can make a spreadsheet where they can present to the freelancer how much they would get paid and the source of such payment, such as for labor, design, per word (for writers), and more. If you are a freelancer with a standard or fixed rate in providing your services, you can also send the same to the contractor.

4. Always Include Conditions For Confidentiality

If the project is something that is meant for private use by the contractor, then it would be best to include a non-disclosure agreement on the same paper. This will ensure that any and all materials that have been submitted by the freelance to the contractor are protected by the law and that in no way shall the freelance disclose any information if they happen to work for another company within the same industry. However, it is also at the discretion of the contractor if they allow the freelancer to disclose that they have worked for them on a certain project for their own portfolio.

What is the conflict of interest in freelance business?

It is a common fact that as long as they are able, freelancers can take on loads of projects if they want to build their reputation and connection. However, some companies find that the freelancers they’ve hired also work for another entity that is of the same business as them, thus creating a conflict of interest. The only way to prevent this is to have the freelancer sign a non-compete agreement for the benefit of the company that hired them.

What are the grounds for termination of the contract?

Contract termination only happens when one of the two contracting parties breaches the terms and conditions of the master agreement. It can be due to low work performance, conflict of interest, the criminal offense (illegal information disclosure, data theft, etc.), fraud, and insubordination. It can also happen when both parties have come to an agreement on discontinuing the project.

Why should I write a freelance contract for my business?

If you want to present yourself as a legitimate business to your clients, then a freelance contract is a must-write document. This will also help you protect your intellectual property from any and all entities, as well as make sure that you get the compensation and benefits that you deserve as a service provider to your contractor/clients.
