So why choose partnership over incorporation? In a partnership agreement, there are several factors to consider and the framework with which a partnership is formed is defined in several instances. The following things are considered in a partnership agreement over incorporation:

  • Startup Costs

Corporations have intricate tax and legal requirements that include the filing of articles of incorporation among other processes, compared to a partnership which is easier to form and can be less costly.

  • Structure

Corporations require more people in the decision-making process, particularly several shareholders who must be included in a decision-making process where there are usually several clashes of ideas. Partnerships have less complex structure wherein partners have equal decision-making responsibilities and can easily agree on the direction of where their business is headed.

  • Management

Partnerships have the advantage of overseeing the operations of a business personally and have a relatively easier and smaller business anatomy to run than a corporation does. Partners assume management duties and have the propensity to detect directly if the business is doing good or not. Corporations are managed by shareholders who are not directly responsible for how the company is run and therefore do not have the direct personal feel of the general welfare of the business.
